Amendments or ancillary agreements require written form. <\/p>\r\n\r\n  <h2>\u00a73 Prices and Payment Terms<\/h2>\r\n  <p>All prices are EXW Karlsruhe (Incoterms\u00ae 2020), plus VAT, packaging, transport, and insurance.<\/p>\r\n\r\n  <ol>\r\n    <li>\r\n      <p><b>Standard Business<\/b><\/p>\r\n      <p>Invoices are \u2013 unless otherwise agreed \u2013 payable within 30 days from the invoice date without deduction.<\/p>\r\n      <p>By agreement, the payment period can be extended to 45 days net.<\/p>\r\n      <p>For payment within 7 calendar days, we grant a 2% discount.<\/p>\r\n    <\/li>\r\n\r\n    <li>\r\n      <p><b>Advance Payment \/ Down Payment<\/b><\/p>\r\n      <p>\r\n For project orders, OEM\/ODM products, system solutions, or custom-made products, Labsun may require a down payment or advance payment.\r\n      <\/p>\r\n      <p>Processing begins only after receipt of payment; amount and due date are specified in the order confirmation.<\/p>\r\n    <\/li>\r\n\r\n    <li>\r\n      <p><b>Payments Due Immediately<\/b><\/p>\r\n      <p>\r\n For online orders, initial orders, spare parts, consumables, as well as maintenance or repair orders, payment is due immediately upon\r\n order confirmation or before delivery.\r\n      <\/p>\r\n    <\/li>\r\n\r\n    <li>\r\n      <p><b>International Business<\/b><\/p>\r\n      <p>For exports, payment is generally made in advance or by irrevocable letter of credit (L\/C).<\/p>\r\n      <p>All bank and transfer costs are borne by the customer.<\/p>\r\n    <\/li>\r\n  <\/ol>\r\n\r\n  <p>\r\n In case of default of payment, statutory default interest rates apply. Labsun may withhold deliveries or further orders until full payment\r\n is received. \r\n  <\/p>\r\n\r\n  <h2>\u00a74 Delivery, Transfer of Risk, and Transport Conditions<\/h2>\r\n\r\n  <ol>\r\n    <li>\r\n      <p><b>Delivery and Transport Types<\/b><\/p>\r\n      <p>Delivery is EXW Karlsruhe (Incoterms\u00ae 2020), unless otherwise agreed in writing (e.g., FCA, DAP, DDP).<\/p>\r\n      <p>\r\n Shipment can be by road, rail, air, sea, or multimodal. Labsun selects the transport route based on safety, cost-effectiveness, and\r\n product requirements. \r\n      <\/p>\r\n    <\/li>\r\n\r\n    <li>\r\n      <p><b>Responsibility for Transport<\/b><\/p>\r\n      <ul>\r\n        <li>\r\n          <b>Transport by Labsun:<\/b>\r\n Labsun bears the transport risk up to the agreed delivery address.\r\n        <\/li>\r\n        <li>\r\n          <b>Transport by Customer or Forwarding Agent:<\/b>\r\n The risk passes to the customer upon provision of the goods for collection (\u00a7 447 BGB).\r\n        <\/li>\r\n      <\/ul>\r\n      <p>\r\n The customer must comply with Labsun's transport and labeling requirements (e.g., \"Do not stack\", \"Do not tilt\", \"Refrigerated goods\", \"Use ice packs\",\r\n \"Do not freeze\", \"Protect from moisture\"). The customer bears damages resulting from non-compliance.  \r\n      <\/p>\r\n    <\/li>\r\n\r\n    <li>\r\n      <p><b>Packaging and Transport Protection<\/b><\/p>\r\n      <p>\r\n Labsun packages according to DIN, ISO, IATA, and IMDG standards. Sensitive devices, glassware, and electronic components are delivered shock-,\r\n vibration-, and moisture-protected. \r\n      <\/p>\r\n    <\/li>\r\n\r\n    <li>\r\n      <p><b>Cold Chain \/ Temperature Control<\/b><\/p>\r\n      <p>\r\n Temperature- or humidity-sensitive products (e.g., reagents, solutions, antibodies, buffers, plastics) are shipped in insulated boxes with\r\n ice packs or dry ice.\r\n      <\/p>\r\n      <p>\r\n For customer transport, the customer is responsible for the unbroken cold chain and temperature monitoring. Labsun is not liable for\r\n quality losses due to an interrupted cold chain or delayed storage. \r\n      <\/p>\r\n    <\/li>\r\n\r\n    <li>\r\n      <p><b>Goods Receipt Inspection and Reporting Obligation<\/b><\/p>\r\n      <p>The customer must inspect the goods immediately upon receipt.<\/p>\r\n      <p>Damages or shortages must be reported in writing with photos and delivery note within 3 working days; hidden damages within 10 days.<\/p>\r\n      <p>Late\/informal reports cannot be considered.<\/p>\r\n    <\/li>\r\n\r\n    <li>\r\n      <p><b>Self-Collection \/ Third-Party Forwarding Agent<\/b><\/p>\r\n      <p>\r\n For self-collection, the customer is liable for load securing, stacking, fixation, weather, and shock protection. Labsun is not liable for damages\r\n after the transfer of risk. \r\n      <\/p>\r\n    <\/li>\r\n\r\n    <li>\r\n      <p><b>Support<\/b><\/p>\r\n      <p>In case of timely, documented notification, Labsun supports claims settlement with the carrier\/insurance.<\/p>\r\n    <\/li>\r\n  <\/ol>\r\n\r\n  <h2>\u00a75 Retention of Title<\/h2>\r\n  <p>Goods remain the property of Labsun GmbH until full payment. Claims from resale are deemed assigned to Labsun. <\/p>\r\n\r\n  <h2>\u00a76 Warranty and Maintenance<\/h2>\r\n  <p>\r\n    <b>Period:<\/b>\r\n 24 months from transfer of risk.\r\n  <\/p>\r\n  <p>\r\n    <b>Prerequisite:<\/b>\r\n proper operation, cleaning, storage, maintenance every 6 months, trained personnel, written notification of malfunctions, authorized\r\n repairs.\r\n  <\/p>\r\n  <p>\r\n    <b>Excluded:<\/b>\r\n wear parts, incorrect operation, delayed cleaning, chemical\/mechanical impact, overvoltage, incorrect storage, interrupted cold chain.\r\n  <\/p>\r\n  <p>If rectification\/replacement fails \u2192 reduction or withdrawal possible.<\/p>\r\n  <p>Wear parts are excluded from warranty even if their failure occurs within the warranty period.<\/p>\r\n\r\n  <h2>\u00a77 Liability<\/h2>\r\n  <p>Labsun is liable for intent\/gross negligence; for slight negligence only for damages typical of the contract.<\/p>\r\n  <p>Liability for personal injury, product liability law, and guarantees remains unaffected.<\/p>\r\n\r\n  <h2>\u00a78 Returns \/ RMA<\/h2>\r\n  <p>Only with written authorization. Processing fee min.  30 %. Custom-made products excluded.<\/p>\r\n  <p>Decontamination certificate required for contaminated devices.<\/p>\r\n\r\n  <h2>\u00a79 Intellectual Property Rights and Confidentiality<\/h2>\r\n  <p>All rights to drawings, software, concepts, documentation remain with Labsun.<\/p>\r\n  <p>Copying, reverse engineering, modification, or disclosure prohibited.<\/p>\r\n  <p>Both parties maintain confidentiality.<\/p>\r\n\r\n  <h2>\u00a710 Traceability<\/h2>\r\n  <p>Customer ensures traceability (batch\/customer) for at least 10 years and provides safety-relevant information upon request. <\/p>\r\n\r\n  <h2>\u00a711 Export Control<\/h2>\r\n  <p>\r\n Customer observes EU\/DE export and sanctions law. Products may not be used for military purposes or exported to sanctioned countries\r\n. \r\n  <\/p>\r\n  <p>Labsun may request an End-Use Certificate (EUC). In case of violation, the customer is liable for damages\/fines. <\/p>\r\n\r\n  <h2>\u00a712 Force Majeure<\/h2>\r\n  <p>\r\n Natural disasters, pandemics, war, governmental measures, or supply chain disruptions temporarily exempt both parties from performance obligations.\r\n  <\/p>\r\n  <p>If disruption lasts &gt;90 days \u2192 withdrawal from the affected part is permissible.<\/p>\r\n\r\n  <h2>\u00a713 Set-off and Retention<\/h2>\r\n  <p>Only permissible with undisputed or legally established claims. Retention only within the same contractual relationship. <\/p>\r\n\r\n  <h2>\u00a714 Place of Performance and Jurisdiction<\/h2>\r\n  <p>Place of performance: Karlsruhe.<\/p>\r\n  <p>Place of jurisdiction: Registered office of Labsun GmbH.<\/p>\r\n  <p>German law applies, CISG excluded.<\/p>\r\n\r\n  <h2>\u00a715 Online Orders<\/h2>\r\n  <p>Online orders are considered a binding offer; contract by written confirmation or shipment.<\/p>\r\n  <p>No right of withdrawal for B2B customers.<\/p>\r\n  <p>Email\/portal communication is legally binding. Prices net plus VAT and shipping; payment methods according to \u00a73.   <\/p>\r\n\r\n  <h2>\u00a716 Services<\/h2>\r\n  <p>Labsun offers services for installation, maintenance, calibration, repair, training, testing, equipment relocation, buy-back, and recycling.<\/p>\r\n  <p>Services by qualified personnel; customer provides access, energy, security.<\/p>\r\n  <p>Travel and waiting times are considered working hours; materials charged separately.<\/p>\r\n  <p>Liability only for intent\/gross negligence.<\/p>\r\n\r\n  <h2>\u00a717 Data Protection<\/h2>\r\n  <p>Labsun processes personal data according to GDPR\/BDSG, applies TOMs. <\/p>\r\n  <p>Customer data remains the property of the customer.<\/p>\r\n  <p>Data disclosure only with consent or legal obligation.<\/p>\r\n  <p>In case of data breaches \u2192 immediate information according to Art.33 GDPR.  <\/p>\r\n  <p>Details can be found in the privacy policy on www.lab-sun.de.<\/p>\r\n\r\n  <h2>\u00a718 Software and Digital Systems<\/h2>\r\n  <p>Software\/firmware is provided as a usage license, not transferred as ownership.<\/p>\r\n  <p>Customer receives a non-exclusive, non-transferable right of use.<\/p>\r\n  <p>Modification, copying, reverse engineering, integration without consent prohibited.<\/p>\r\n  <p>No liability for data loss\/system failure due to external systems.<\/p>\r\n  <p>Remote support\/updates only by separate agreement.<\/p>\r\n\r\n  <hr>\r\n\r\n  <p>\r\n Labsun GmbH \u00b7 Am Sandfeld 13a, 76149 Karlsruhe, Germany\r\n    <br\/> Tel: +49 (0)721 47080525 \u00b7 info@lab-sun.de \u00b7 www.lab-sun.de\r\n    <br\/> Managing Director: Ms. Shurong Sun \u00b7 HRB 701196 Mannheim \u00b7 VAT ID: DE251439416 \u00b7 WEEE Reg.
